Joint venture transactions are the sale of equity interests in newly formed entities through the use of private/public partnerships. These transactions utilize the asset management expertise of the private sector while the FDIC as receiver retains an equity (or in some cases a participation) interest in all future cash flows generated by the workout of the assets over time. Future expenses and income are shared based on the percentage of ownership of the private sector equity partner and the FDIC as receiver.
